Andrew Yule board meeting outcome included the adoption of revised auditors’ reports for FY26, consideration of June-quarter financial results and deferral of the company’s annual general meeting date, according to a BSE filing made on 12 August 2026.

Andrew Yule & Company Ltd said its board considered, noted or approved the matters at its 278th meeting, held from 2:30 pm to 5:55 pm on Wednesday.

Revised audit reports supersede May reports

The board adopted the revised auditors’ report dated 18 July 2026 on the company’s standalone and consolidated financial results for the year ended 31 March 2026.

These revised reports supersede the earlier standalone and consolidated audit reports dated 26 May 2026. The company said the revision followed audit observations raised by the Office of the Comptroller and Auditor General of India during the supplementary audit.

June-quarter results placed before board

The board also considered the unaudited standalone and consolidated financial results of Andrew Yule for the quarter ended 30 June 2026, together with the limited review report.

The filing listed the board’s decisions and matters considered but did not provide financial figures from the quarterly results.

  • Revised standalone and consolidated auditors’ reports for FY26 were adopted.
  • Unaudited standalone and consolidated June-quarter results, along with the limited review report, were considered.
  • M/s Bandyopadhyaya Bhaumik & Co., Cost Accountants, was reappointed as the company’s cost auditor for FY2026-27.
  • Fixing the date of the 78th annual general meeting was deferred.

AGM date awaits CAG comments

Andrew Yule said the board deferred fixing the date of its 78th Annual General Meeting because comments from the CAG were not available.

The outcome was disclosed under Regulation 30, read with Part A of Schedule III, of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015, as amended. Company Secretary Sucharita Das signed the communication submitted to BSE Limited.

The disclosure records the board’s actions relating to financial reporting, statutory audit observations, cost-auditor reappointment and AGM scheduling. It does not specify a revised timeline for fixing the AGM date.
