Cyient Infotech HAL dissolution has been completed after the Bengaluru Bench of the National Company Law Tribunal ordered the joint venture to be dissolved following completion of its liquidation process. Cyient informed the exchanges of the development in a BSE filing dated 21 August 2026, after receiving the tribunal's order that day.

The order was passed on 17 August 2026. Infotech HAL Limited was a 50:50 joint venture between Cyient Limited and Hindustan Aeronautics Limited, established to undertake aero-engine service work. It was incorporated in Karnataka on 23 August 2007 with authorised share capital of Rs 28 crore and paid-up share capital of Rs 4 crore.

Liquidation process completed

The NCLT order said Infotech HAL's corporate insolvency resolution process was admitted on 22 August 2025. The tribunal subsequently directed liquidation, and the liquidator moved an application on 9 June 2026 seeking dissolution.

The tribunal recorded that the company did not possess any significant tangible or intangible assets when liquidation began. Its principal realisations comprised money held in bank accounts, including an income-tax refund received during the insolvency resolution process.

  • The liquidator received and admitted claims aggregating to Rs 5.38 crore from creditor and statutory categories identified in the order.
  • Provident fund dues of Rs 10.84 lakh were discharged, while the balance was distributed in accordance with Section 53 of the Insolvency and Bankruptcy Code.
  • The final report, audited liquidation accounts and Form-H compliance certificate were filed on 30 May 2026.

Tribunal directions

The NCLT found that the company's affairs had been completely wound up and all realisable assets had been dealt with under the Insolvency and Bankruptcy Code. It accordingly allowed the dissolution application under Section 54 and discharged the liquidator from his duties.

The liquidator was directed to inform the Income Tax and GST departments and surrender the company's PAN and GSTIN. The tribunal clarified that the dissolution does not affect any lawful rights of creditors against former directors, guarantors or other relevant persons.

Cyient made the disclosure under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations. Its shares are listed under BSE scrip code 532175 and NSE symbol CYIENT.
