Bandhan Bank Disclosure Authority Revised as Vinay Jain Takes Interim CFO Role
Bandhan Bank revises its authorised disclosure officials from September 26 as Vinay Jain begins his interim CFO tenure, with materiality powers specified.

Bandhan Bank disclosure authority will change from September 26, 2026, the bank said in a September 25 BSE filing, setting out a revised list of key managerial personnel authorised to determine and/or disclose material events and information to stock exchanges.
The revision follows the previously approved appointment of Vinay Jain as interim Chief Financial Officer and Key Managerial Personnel. His tenure runs from September 26, 2026, to March 31, 2027. The bank had communicated the board’s approval of his appointment in a letter dated July 21, 2026.
The latest filing updates the authority arrangements under Regulation 30(5) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. It identifies the officials responsible for exchange disclosures and specifies who can determine whether an event or information is material.
Officials authorised for exchange disclosures
The revised list operates under the bank’s board-approved Policy for Determination of Material Events/Information. It assigns the following responsibilities from September 26:
- Partha Pratim Sengupta, Managing Director and Chief Executive Officer, is authorised for both determination and disclosure of material events or information.
- Executive Directors Ratan Kumar Kesh and Rajinder Kumar Babbar are authorised to make disclosures, with additional materiality determination powers in the circumstances specified by the bank.
- Company Secretary Indranil Banerjee is authorised to make disclosures to the stock exchanges.
- Vinay Jain, listed as interim Chief Financial Officer, is also authorised to make disclosures.
The allocation distinguishes the authority to assess materiality from the authority to communicate material events or information to the exchanges.
Materiality decisions in the MD and CEO’s absence
In the absence of the Managing Director and Chief Executive Officer, the senior-most Executive Director can determine the materiality of an event or information. If that Executive Director is also absent, any other Executive Director can exercise this authority, alongside their disclosure powers.
The filing lists investors@bandhanbank.com and 033 6609 0909 as contact details. Addressed to BSE and NSE, it identifies the bank by BSE scrip code 541153 and NSE symbol BANDHANBNK. The bank also said the disclosure was being simultaneously uploaded to its website.
