RCF board has approved NCDs of up to Rs 1,100 crore via private placement over 12 months, subject to shareholder approval at the ensuing AGM.

Rashtriya Chemicals and Fertilizers Ltd (RCF) said in a BSE filing on August 13, 2026, that its board has approved the RCF NCD issue to raise up to Rs 1,100 crore. The fundraising proposal covers secured or unsecured non-convertible debentures to be issued through private placement.
The company may issue the debentures in one or more series or tranches during the next 12 months. The proposal remains subject to shareholder approval at the ensuing Annual General Meeting.
Board also approves June-quarter results
At the same meeting, the board considered and approved RCF's standalone and consolidated unaudited financial results for the quarter ended June 30, 2026. The filing included the integrated results and limited review report issued by Raju & Prasad, Chartered Accountants, the company's statutory auditors.
RCF also submitted the prescribed regulatory disclosures relating to the use of debt-issue proceeds. The company reported no deviation or variation in the use of proceeds from its listed secured and unsecured non-convertible debentures for the quarter ended June 30, 2026.

The company further stated that the security-cover report under Regulation 54(3) of the SEBI Listing Obligations and Disclosure Requirements was not applicable because its secured debentures had been redeemed on maturity on August 5, 2025.
