IRFC Board Meeting Outcome: Two Independent Directors Reappointed
IRFC has reappointed Pradeep Ahlawat and Manjula Mishra as additional directors designated as non-official independent directors.

Indian Railway Finance Corporation Ltd (IRFC) reappointed Shri Pradeep Ahlawat and Ms. Manjula Mishra as additional directors designated as non-official independent directors at its board meeting on 25 August 2026, the company said in a BSE filing.
The IRFC board meeting outcome follows the appointment of both directors with effect from 20 August 2026. Their earlier appointments were valid up to the date of the company’s next Annual General Meeting, which the filing identified as 25 August 2026, making reappointment necessary under the applicable provisions of the Companies Act, 2013.
Board approves reappointment of both directors
The board approved the continuation of Shri Pradeep Ahlawat, holding Director Identification Number 05248787, and Ms. Manjula Mishra, holding Director Identification Number 02195403, in their respective roles as additional directors designated as non-official independent directors.
- Pradeep Ahlawat was reappointed as an additional director designated as a non-official independent director.
- Manjula Mishra was reappointed in the same designated capacity.
- Both directors had initially been appointed with effect from 20 August 2026.
IRFC said the disclosure was submitted pursuant to Regulations 30 and 51, read with Schedule III of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015, as amended, along with other applicable regulations.

The board meeting commenced at 5:00 pm and concluded at 5:15 pm on 25 August 2026. IRFC submitted the outcome to both the National Stock Exchange of India and BSE for information and record.
