HDFC Bank Grants 5.87 Crore Stock Options and RSUs Under Employee Schemes
HDFC Bank granted 5.87 crore stock options and multiple RSU tranches under its employee schemes, according to its September 6 BSE filing.

HDFC Bank stock options were granted alongside restricted stock units under the bank’s employee incentive schemes, according to a BSE filing dated September 6, 2026. The bank said its Governance, Nomination and Remuneration Committee approved the grants on the same date.
The largest grant comprises 5,86,95,020 equity stock options under ESOS 063, issued at a grant price of Rs. 712.10 per option. Each option, with a face value of Re. 1, can convert into one equity share on vesting and exercise under ESOS Plan H-2024.
HDFC Bank also granted 2,90,430 equity stock options under ESOS 064 at Rs. 712.10 each. These options carry the same face value and conversion terms stated in the filing.
Four-stage vesting for ESOS grants
Both ESOS 063 and ESOS 064 options will vest in four stages: 15% after 12 months, 20% after 24 months, 25% after 36 months, and the balance after 48 months from the grant date. Vested options must be exercised within four years from their respective vesting dates; otherwise, they will lapse.
The grants were made under the Employees’ Stock Option Scheme ESOS Plan H-2024 and are governed by the applicable SEBI Share Based Employee Benefits and Sweat Equity Regulations, 2021, as amended.

The 1,53,73,400 RSUs under RSU 018 will vest in four stages of 15%, 20%, 25% and the balance over 48 months. RSU 019 will vest fully after 12 months, while RSU 020 will vest 30% after 12 months, 30% after 24 months and the balance after 36 months.
Each RSU is convertible into one Re. 1 equity share upon vesting and exercise. Vested RSUs under these schemes must be exercised within one year of their respective vesting dates, failing which they lapse, HDFC Bank said.
