Federal Bank ESOP share allotment covered 15,02,976 equity shares issued to option grantees on August 11, 2026, the private-sector lender said in a BSE filing. The allotments followed the exercise of stock options under four employee stock schemes and payment of the applicable money by the allottees.

The bank informed BSE Limited and the National Stock Exchange of India that the allotments had been approved by its Nomination, Remuneration, Ethics and Compensation Committee. Each equity share issued under the exercise carries a face value of Rs 2.

ESOS 2017 accounts for most shares allotted

The largest component was the allotment of 14,49,997 equity shares to option grantees exercising stock options under the ESOS 2017 Scheme. The remaining shares were distributed among the bank's ESOS 2010, ESOS 2023 and ESIS 2023 schemes.

All four allotments were made on the same date following the option exercises. The filing identified the recipients as option grantees and did not disclose their individual names or the exercise prices applicable to the respective schemes.

Exchange disclosure under Regulation 30

Federal Bank submitted the disclosure under Regulation 30 of the listing regulations. The filing was addressed to both stock exchanges, where the bank's shares trade under the NSE symbol FEDERALBNK and BSE scrip code 500469.

The disclosure was signed by Company Secretary Samir P Rajdev. It stated that the allotments were completed after receipt of money from the allottees and requested the exchanges to take the information on record. The filing did not provide the aggregate exercise proceeds or announce any transaction beyond the employee stock-option allotments.
