Hindustan Organic Chemicals Q1 results were approved by the company’s board on August 7, 2026, the public sector chemicals company said in a filing to BSE. The limited-reviewed, unaudited financial results cover the first quarter ended June 30, 2026 on both standalone and consolidated bases.

Hindustan Organic Chemicals Ltd, or HOCL, submitted the results alongside limited review reports issued by statutory auditor M/s Balan & Co., Chartered Accountants. According to the exchange filing, the reports contain an unmodified opinion without qualifications for both sets of financial statements. Consequently, the company said the impact of audit qualifications was not applicable.

The disclosure was made following the company’s 428th board meeting and cited Regulations 30 and 33, along with other applicable provisions of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015.

Board clears AGM-related matters

Besides approving the quarterly financial statements, the board cleared the directors’ report for financial year 2025-26 and considered arrangements for HOCL’s 65th annual general meeting. It approved the AGM notice and authorised the company secretary to issue it.

The board also appointed scrutinisers to oversee the meeting process and submit the results. NSDL was appointed to provide video-conferencing and electronic-voting facilities. Other routine items included in the meeting agenda were also approved, the filing said.

Trading window remains closed

HOCL said the trading window for dealing in its securities by designated insiders, which closed on July 1, 2026, would remain shut until 48 hours after the declaration of the financial results. The measure follows the company’s earlier intimation dated June 26, 2026.

The company said the filing would also be disseminated on its website in accordance with SEBI listing regulations. Company Secretary and Compliance Officer Subramonian H signed the submission and the accompanying declaration on the auditors’ unmodified opinion.
