Race Eco Chain Promoter Pledge Covers Entire Holding of 77.30 Lakh Shares
Race Eco Chain promoters pledged their entire 44.79% stake to Share India Securities for personal purposes, with Rs 59.16 crore involved in the arrangement.

Race Eco Chain promoter pledge disclosures posted on BSE on October 5, 2026, showed that the promoters had pledged their entire holding of 77,30,100 equity shares. The shares represent 44.79% of the company’s total share capital, according to the filing dated October 1, 2026.
The disclosure identifies Dinesh Pareekh, Sangeeta Pareekh and BLP Equity Research Private Limited as the promoters whose shares were encumbered. The pledge was created on September 8, 2026, in favour of Share India Securities Limited.
The encumbrance event table gives personal purpose as the reason for each promoter’s pledge. The disclosed share count therefore covers all promoter holdings listed in the filing, rather than a portion of those holdings.
Promoter holdings covered by the pledge
The annexure detailing reasons for encumbrance provides the following breakdown of the shares pledged and their respective proportions of the company’s total share capital:
- Dinesh Pareekh: 7,00,000 equity shares, representing 4.06%.
- Sangeeta Pareekh: 43,20,000 equity shares, representing 25.03%.
- BLP Equity Research Private Limited: 27,10,100 equity shares, representing 15.70%.
The filing confirms that 100% of promoter shareholding was encumbered. It consequently answers yes to both disclosure questions concerning whether encumbered shares account for at least 50% of promoter shareholding and at least 20% of the company’s total share capital.
The annexure also states that promoter-group holdings, along with those of the promoters, are considered when reporting promoter shareholding.
Share valuation and amount involved
The filing values the pledged shares at Rs 75,36,84,750 on the event or agreement date, using a price of Rs 97.50 for each of the 77,30,100 shares. It reports Rs 59,16,42,528.75 as the amount involved against the encumbered shares, calculated at 78.50% of that valuation.
The disclosure states that the encumbrance does not relate to debt instruments such as debentures, commercial paper or certificates of deposit.
Dinesh Pareekh signed the submission in Noida on behalf of all promoters. The covering letter cites Regulation 31(1), read with Regulation 31(3), of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, and addresses both BSE and the National Stock Exchange.
