Gallard Steel shareholders approved the appointments of two non-executive independent directors and a statutory auditor at the company's 11th annual general meeting on September 30, 2026, according to its October 3, 2026 BSE filing.

Members confirmed Praveen Sinha and Habib Khandwala as independent directors for five consecutive years, from September 8, 2026 to September 7, 2031. Both directors will hold office without being liable to retire by rotation.

The shareholders also approved Anil Kamal Garg & Co., Chartered Accountants, as statutory auditor. Its tenure runs from the conclusion of the 11th AGM until the conclusion of the 16th AGM, scheduled to be held in calendar year 2031.

Independent directors bring foundry and finance experience

  • Praveen Sinha, DIN 11092375, has more than 40 years of experience in steel foundry operations, automotive castings and process optimisation. His expertise includes vacuum-assisted lost foam casting and energy-efficient manufacturing. The filing describes experience in scaling businesses, reducing energy consumption and supplying original equipment manufacturers across India, Bhutan and Nepal.
  • Habib Khandwala, DIN 11697079, is a Chartered Accountant with more than 30 years of experience spanning finance, accounting, audit, treasury, corporate governance and business management. He has held senior leadership positions across diverse industries, with international exposure in financial management, regulatory compliance and risk oversight.

The company stated that neither appointee is debarred from holding a director's office by SEBI or any other authority. It reported no directorships in other listed entities for either director and marked disclosure of relationships between directors as not applicable.

Auditor appointment and filing details

Anil Kamal Garg & Co., registered under firm number 004186C, has its core operations in Indore and has provided professional services since 1988. Its stated service areas include auditing, assurance, attestation, legal and related work.

The company said the auditor appointment followed applicable provisions of the Companies Act, 2013 and SEBI Listing Regulations. It also stated that the corresponding XBRL disclosure was being prepared for filing within the stipulated time.
