Austere Systems NCLAT disclosure, submitted in a BSE filing on October 2, 2026, reported that the tribunal had dismissed the company's appeal against a ₹44,25,569 CCI penalty. The disclosure followed a warning-cum-advisory letter issued by SEBI on October 1, 2026.

The National Company Law Appellate Tribunal passed its order on September 23, 2025, upholding the Competition Commission of India's April 4, 2022 order concerning historical soil-testing tenders. The exchange filing therefore reports an earlier appellate decision, rather than a fresh penalty.

According to the enclosed judgment, the CCI found that the appellants, along with other bidders, had contravened competition-law provisions concerning market allocation and bid rigging. The proceedings concerned soil-testing tenders issued by the Department of Agriculture, Government of Uttar Pradesh, in 2017 and 2018.

Supreme Court appeal and financial exposure

Austere Systems said it filed an appeal before the Supreme Court on December 12, 2025, along with an application seeking a stay of the NCLAT order. It identified the filing as Civil Appeal Diary No. 62482/2025. The supplied disclosure does not establish that a stay has been granted.

The company outlined the following effects of the tribunal's decision:

  • The NCLAT did not increase the CCI penalty or impose any additional monetary liability.
  • The order did not result in suspension, debarment, disqualification, closure or restrictions on business activities.
  • The company reported no disruption to ongoing operations or additional material adverse financial or operational impact beyond the existing penalty.

Austere Systems said the penalty and underlying proceedings had already been disclosed in its red herring prospectus before listing.

Company explains delayed reporting

The company's shares listed on BSE on September 12, 2025, shortly before the NCLAT decision. Austere Systems said it initially treated the ruling as a continuation of proceedings already disclosed in its prospectus because it introduced no fresh penalty or operational restriction.

The company described the omission of a separate exchange disclosure as inadvertent and denied any intention to conceal the proceedings or financial exposure. Following a review and SEBI's advisory, it submitted the updated disclosure under Regulation 30.

Austere Systems also said it had strengthened internal compliance and escalation mechanisms to monitor judicial, regulatory and statutory proceedings and identify developments requiring timely disclosure.
