Aurobindo Pharma acquisition: A1 USA buys A1 Labs LLC for USD 15.247 million
Aurobindo Pharma disclosed A1 USA's USD 15.247 million purchase of A1 Labs LLC, adding US research capabilities to support a dedicated CRDMO platform.

Aurobindo Pharma disclosed in a BSE filing on October 2, 2026, that A1 Biochem USA Inc had acquired full ownership of US-based A1 Biochem Labs LLC for USD 15.247 million in cash. The Aurobindo Pharma acquisition disclosure said the transaction was completed on October 2, subject to customary conditions prescribed under the definitive agreements.
A1 Biochem USA Inc is a wholly owned subsidiary of A1 Biochem Labs (India) Private Limited. Following the purchase, A1 Labs LLC becomes a step-down subsidiary of A1 Labs India.
The transaction forms part of the acquisition arrangements for A1 Biochem Group. Aurobindo had previously informed exchanges that its wholly owned subsidiary, Apitoria Pharma Private Limited, was acquiring the group's Contract Research Services business.
US research capability to support CRDMO platform
A1 Labs LLC provides contract research and chemistry services to pharmaceutical and biotechnology companies, including custom synthesis and medicinal chemistry. Incorporated in September 2015, it operates from a leased scientific laboratory in Wilmington, North Carolina.
Aurobindo said the acquisition adds front-end research and development capabilities that will enable it to create a dedicated Contract Research, Development and Manufacturing (CRDMO) platform. Apitoria and A1 Labs India already undertake large-scale, regulatory-compliant active pharmaceutical ingredient manufacturing.
The filing described the transaction as complementary to those manufacturing operations. It is intended to expand the company's services across the API life cycle and facilitate longer customer engagements.
Dr. Rajendra Gadikota, who led A1 Labs LLC and has more than 25 years of experience in the business, will remain employed with the company after the acquisition.
Transaction terms and target sales
A1 USA acquired 100% membership interest in A1 Labs LLC, which does not have share capital represented by shares. The filing set out the following terms:
- The purchase qualifies as a related party transaction because seller Dr. Rajendra Gadikota is also a director of A1 Labs India.
- The transaction is at arm's length; Aurobindo's promoter, promoter group and group companies have no interest in it.
- No governmental or regulatory approvals are required.
A1 Labs LLC reported the following calendar-year turnover:
| Calendar year | Turnover |
|---|---|
| 2023 | USD 6.35 million |
| 2024 | USD 9.23 million |
| 2025 | USD 5.92 million |
