A Veranda Learning board update filed with BSE on October 5, 2026, disclosed board changes and key managerial appointments at J.K. Shah Commerce Education Limited (JSCEL). JSCEL's board and shareholders approved the changes at their respective meetings that day.

Jitendra Kantilal Shah will become Chairman and Managing Director from October 6, 2026, moving from his position as a non-executive director. His appointment is for three consecutive years. A chartered accountant with over four decades of experience in commerce education, he is associated with J.K. Shah Classes.

Pooja Jinit Dharia and Vishal Jitendra Shah were appointed whole-time directors for three years, effective October 5, 2026. Both are chartered accountants and previously served as joint chief operating officers at Veranda XL Learning Solutions Private Limited. The filing disclosed that they are Jitendra Kantilal Shah's daughter and son, respectively.

Four independent directors appointed

JSCEL approved the appointment of Sreedhar Muppala as a non-executive, non-independent director from October 6, 2026. His experience includes educational institution management, commerce education and curriculum development.

Four non-executive independent directors will also take office on October 6, 2026:

  • Vijay Kundanmal Choraria: five-year term; promoter and managing director of Crest Ventures Limited.
  • Nilesh Bansilal Mehta: five-year term; a chartered accountant with experience in investing, investment banking and corporate strategy.
  • Devendra Raj Mehta: one-year term; a former SEBI chairman and Reserve Bank of India deputy governor.
  • Rajeev Sharma: one-year term; a professional with over 36 years of experience in consulting, IT and outsourcing.

Finance appointments and scheme context

Kalpesh J. Mehta will become Chief Financial Officer and Kailash S will become Company Secretary and Compliance Officer from October 6, 2026. Mehta has over 25 years of finance experience. Kailash previously served as Manager–Compliance at Veranda Learning Solutions Limited.

Non-executive directors K Praveen Kumar and R Rangarajan will resign at the close of business on October 6, 2026. Both cited professional commitments requiring their attention.

Veranda disclosed the changes in connection with the composite scheme of arrangement involving itself, Veranda XL Learning Solutions Private Limited and JSCEL. The scheme identifies JSCEL as the resulting company. Veranda said the disclosure fulfilled the requirement under the stock exchanges' observation letters to continuously report material information relating to JSCEL.
